Terms of Service

These Terms of Service (“Terms”) govern your access to and use of the ToneKid iOS application and related websites (the “Service”) operated by ToneKid, Inc. (“ToneKid”, “we”, “us”). By using the Service, you agree to these Terms. If you do not agree, do not use the Service.

Eligibility

You must be at least 13 years old to use ToneKid. If you are under 18 (or the age of majority where you live), you must have permission from a parent or legal guardian.

Your Account

You are responsible for keeping your account credentials confidential and for all activity that happens under your account. Notify us at security@tonekid.com if you suspect unauthorized access.

The Service

ToneKid uses AI to analyze guitar parts in songs and generate amp, effect, and EQ settings adapted to the gear you own. Match percentages are estimates, not guarantees. The Service is provided for personal, non-commercial use unless you have a separate written license from us.

Subscriptions and Billing

ToneKid is offered as a free tier and as a paid “Pro” subscription. Pro subscriptions are sold and billed through the Apple App Store under your Apple ID. By starting a Pro subscription you agree to:

• Recurring charges at the price displayed at purchase, billed monthly or annually depending on the plan you choose.
• Automatic renewal at the end of each billing period unless you cancel at least 24 hours before renewal.
• Apple's payment, refund, and billing terms.

Cancellation is managed through your Apple ID subscription settings. We do not process refunds for completed billing cycles. Free trial offers convert to paid subscriptions unless cancelled before the trial ends.

Acceptable Use

You agree not to:

• Reverse engineer, decompile, or attempt to extract source code from the Service.
• Resell, rent, or sublicense access to the Service.
• Use the Service to harass, harm, or infringe the rights of others.
• Use automated systems to access the Service except as permitted by our API or robots.txt.
• Upload content that infringes intellectual property or violates law.

We may suspend or terminate accounts that violate these terms.

Intellectual Property

ToneKid, the ToneKid name, logo, and all related software are owned by ToneKid, Inc. and are protected by copyright, trademark, and other laws. We grant you a limited, non-exclusive, non-transferable, revocable license to use the Service for personal, non-commercial purposes.

Tone presets generated for you remain available for your personal use. You may not redistribute or sell ToneKid-generated content as a database or product offering without our written permission.

Song names, artist names, and amp / pedal brand names are property of their respective owners. Their mention in the Service is for identification and reference purposes only and does not imply endorsement.

Third Party Services

The Service may link to or integrate with third-party services (for example, the Apple App Store). We are not responsible for the practices, terms, or content of third-party services.

Disclaimers

The Service is provided “as is” and “as available” without warranties of any kind, whether express or implied, including warranties of merchantability, fitness for a particular purpose, and non-infringement. We do not warrant that the Service will be uninterrupted, secure, or error-free, or that match percentages or generated settings will be accurate or suitable for your purpose.

Limitation of Liability

To the maximum extent permitted by law, ToneKid, its affiliates, and its service providers will not be liable for indirect, incidental, special, consequential, or punitive damages, or any loss of profits, revenue, data, or goodwill, arising out of or in connection with the Service. Our total liability for any claim relating to the Service will not exceed the amount you paid us in the twelve months before the event giving rise to the claim, or one hundred U.S. dollars (USD 100), whichever is greater.

Some jurisdictions do not allow limitations on implied warranties or liability, so these limitations may not apply to you in full.

Indemnification

You agree to indemnify and hold ToneKid harmless from any claim, loss, or expense (including reasonable attorneys' fees) arising from your use of the Service or violation of these Terms.

Termination

You may stop using the Service at any time and delete your account from in-app settings. We may suspend or terminate access if you violate these Terms or if we discontinue the Service. Sections that by their nature should survive termination will survive (intellectual property, disclaimers, limitations of liability, indemnification, governing law).

Governing Law

These Terms are governed by the laws of the State of Delaware, without regard to conflict of law principles. Any dispute will be resolved in the state or federal courts located in Delaware, and you consent to that jurisdiction.

Changes to These Terms

We may update these Terms from time to time. We will notify you of material changes via the Service or by email and update the “Effective date” above. Continued use of the Service after a change means you accept the revised Terms.
